ACCOUNT CREATION

To use the Website, you will need to register for a Dijitru account. During the registration process, we will ask you for information, including your name and other personal information, to verify your identity. We may, at our sole discretion, refuse to open a Dijitru Account for you.

If you use this Website, you are responsible for maintaining the confidentiality of your account and password, and for restricting access to your computer, and you agree to accept responsibility for all activities that occur under your account or password. You may not assign or otherwise transfer your account to any other person or entity. You acknowledge that we are not responsible for third-party access to your account that results from theft or misappropriation of your account. We reserve the right to refuse or cancel service, terminate accounts, or remove or edit content at our sole discretion.

As part of the account registration process, you will be required to either link to an external electronic wallet or create one on our Website. You must familiarize yourself with the terms of use, technology, and security protocols of your electronic wallet (e.g., saving your backup phrase in a safe place). It’s important to keep in mind that when you use your electronic wallet on the Website, you represent to us that the wallet is owned or controlled exclusively and directly by you and no other person. The Website provides a platform for issuers to list their portfolio or assets for investment by retail investors. Securities listed and offered on our platform are issued in offerings exempt from registration under the Securities Act of 1933 by an issuer that is not a “reporting company” subject to the reporting requirements of the Securities Exchange Act 1934. Securities in issuers’ companies will be issued in and represented by digital shares(tokens). Neither the Securities and Exchange Commission nor any federal or state securities commission or regulatory authority has recommended or approved any investment or the accuracy or completeness of any of the information or materials provided herein or through any references/links herein.

II. PAYMENT AND FEES

We reserve the right to change, modify or increase the transaction fees from time to time and we will use reasonable efforts to provide notice of such changes on our Website. If you enter into any transaction on the Website following such modification, you are deemed to have accepted the increased fees regardless of whether you have effectively read or understood said notification. Subject to applicable laws, we will not issue a refund or a credit for transaction fees collected.

III. INVESTOR ELIGIBILITY

Dijitru currently makes this investment platform available to the U.S. Accredited Investors, as defined in Rule 230.501 of Regulation D promulgated under the Securities Act of 1933, and retail investors who are residents of India, Singapore, and Nigeria only.

Dijitru may collect certain information about you that helps us comply with various securities regulations and rules and the USA PATRIOT Act, a federal law that requires all securities firms to obtain, verify, and record information that identifies each applicant. When you open an account with us, you will be required to provide information such as your name, date of birth, address, and identification number, which could be taxpayer identification number or Social Security Number for U.S. citizens and passport number or other government-issued identification for non-U.S. citizens. If you open an account on behalf of a legal entity, you will be asked for the names, addresses, dates of birth, and other identification information of the beneficial owners of the legal entity.

You represent to us that you and your financial institutions, or any party that owns or controls you or your financial institutions, are (1) not subject to sanctions or otherwise designated on any list of prohibited or restricted parties, including but not limited to the lists maintained by the United Nations Security Council, the U.S. Government (e.g., the Specially Designated Nationals List and Foreign Sanctions Evaders List of the U.S. Department of Treasury and the Entity List of the U.S. Department of Commerce), the European Union or its Member States, or other applicable government authority and (2) not located in any country to which the United States has embargoed goods or has otherwise applied any sanctions.

We may engage a third party to conduct an anti-money laundering (AML) check on you. If we cannot verify the information you provide, we may restrict or deny your account

V. CUSTODY OF FUNDS

After you decide to invest in one of the assets listed on our platform and transfer your investment funds from your wallet, we may take brief custody of your investments funds for no longer than one day to facilitate necessary operations of investments, including, without limitation, conversion from cryptocurrency to fiat currency, minting and issuance of tokenized securities, and release of funds to issuers. While we handle and keep your funds with care and diligence, we make no representations or warranties as to the safety of your funds. Your funds may not be protected by Federal Deposit Insurance Corporation (FDIC) or the Securities Investor Protection Corporation (SIPC). However, should your funds be lost or compromised, the risk of loss will be allocated to the respective issuer and your investment would not be impacted. 

VI. THIRD-PARTY SERVICE PROVIDERS

We use third-party service providers, including Chainalysis, Fireblocks, and Trulioo, to assist in providing the services (each a “Third-Party Service Provider”). You hereby consent and authorize us to delegate the authorizations you provide to us to our Third-Party Service Provider(s) as we deem necessary or desirable to provide services to you. You agree that these Terms, including any of the other terms, conditions, warranty disclaimers, and liability disclaimers incorporated into these Terms, inure to the benefit of such Third-Party Service Provider, and such Third-Party Service Providers are deemed to be third-party beneficiaries of these Terms. You also agree that all references to us within this Agreement and any incorporated terms are also deemed to include, where applicable, our agents, such as the Third-Party Service Providers.
